What a ready-made company is in Romania

A ready-made company in Romania is an existing SRL whose shares (părți sociale, SRL shares) change hands by share transfer (cesiune de părți sociale). The company stays the same legal person, so its history and its debts stay with it (art. 3, 202, 203 Law 31/1990). An off-the-shelf purchase buys that existing company, not a new one.

Who does what: a lawyer partner drafts the transfer documents, buyer and seller sign them with no notary required (art. 204(2) Law 31/1990), and our CECCAR-registered accountants assemble the evidence pack and take over the books. Ready-made or new SRL

A shelf does not save time at the register: ONRC decides a change and a new company within the same statutory term. What it buys is an existing history.

What the purchase includes

The evidence pack is assembled before you pay; the filings and the books follow the transfer.

  • ONRC status: active, temporarily interrupted or dissolved (art. 12(1) Law 265/2022)
  • A search of ANAF's public register of inactive taxpayers
  • The ANAF tax certificate, requested with the company's express consent (art. 160(1))
  • The local tax certificate from the tax office of the company's seat
  • The company's entry in ONRC's register of beneficial owners
  • VAT status: whether the company holds a live VAT code
  • The register of shareholders, kept by the administrators (art. 198(1) Law 31/1990)
  • Last year's annual statements, or the no-activity declaration (OMF 2.036/2025)
  • Proof that the company holds a Romanian payment account
  • Coordination of the lawyer partner's documents and the filings under your power of attorney
  • The books taken over by CECCAR-registered accountants on handover

Not included: a bank account, a VAT number or a registered office. The bank and ANAF decide the first two after the transfer.

The statutory terms of a share transfer in Romania, under Law 239/2025, Law 265/2022, Law 129/2019 and the Fiscal Procedure Code.
  1. Choose and reserve

Pick a reference from the list and send the request. We identify you and, for a company buyer, its beneficial owners.

  2. Evidence pack before signing

With the company's express consent we request ANAF's tax certificate: issued within 3 working days, usable 30 days (art. 158(5) Fiscal Procedure Code); local certificate, 2 working days (art. 159(3)).

  3. Transfer documents

The lawyer partner drafts the share-transfer agreement, the sole shareholder's decision, the amending act and the updated articles, signed under private signature; the new administrator accepts expressly (art. 72 Law 31/1990).

  4. ANAF notice

Within 15 days of the transfer, the seller, the buyer or the company sends ANAF the deed and the updated articles (Law 239/2025 art. V(1)(a)); arrears need a guarantee.

  5. ONRC filing

Within 15 days of the act, by an attorney under a notarised power of attorney or the lawyer partner (art. 43(1), 81(1) Law 265/2022); registrar's decision in one working day (art. 105(1), 2022 text).

  6. Beneficial-owner declaration

Filed at ONRC within 15 days of the change, often together with step 5 (art. 56(3) Law 129/2019). Missing it costs a fine of 5,000 to 10,000 lei (art. 57).

  7. Bank account

The company re-papers or opens its Romanian payment account after the bank's own checks on the new owner: see a bank account for a foreign-owned SRL.

  8. Books taken over

Our CECCAR-registered accountants take over the books, apply for a VAT code if you want one and check the micro-enterprise ceiling against your other holdings.

You own the company towards third parties from the ONRC entry in step 5, not from signing (art. 203(2) Law 31/1990). The ONRC application needs no trip to Romania: a qualified electronic signature, an attorney or the lawyer partner signs it (art. 81(1), 82(1) Law 265/2022).

Found a company that fits?

Send us its reference and we request the evidence pack for that company before you sign.

The ANAF notice and the guarantee

Since 18 December 2025, Law 239/2025, art. V: notice to ANAF within 15 days of the transfer; arrears need a guarantee, enforced if unpaid 60 days after registration. Procedure: joint order published 12 October 2026.

What the buyer inherits

The company's debts stay with the company, and an SRL shareholder answers only up to the subscribed capital (art. 3 Law 31/1990). The tax certificate does not show what a future tax audit may assess.

Share capital

A new SRL needs 500 lei (Law 239/2025 art. VI). Older SRLs below 500 lei raise it by 18 December 2027; the Part IV fee is halved for an increase made by 31 December 2026 in an act covering only that increase (art. VI(7)).

A Romanian payment account

Compulsory from 1 January 2026 (art. XI(2) Law 239/2025). Without one the company is declared inactive, then dissolved a year later unless reactivated (art. 92(4^1) Fiscal Procedure Code): accounting for a dormant Romanian SRL.

Who does what

A lawyer partner drafts the transfer documents (art. 3 Law 51/1995). The evidence pack, the ANAF filings and the books are performed by CECCAR-registered accountants (art. 6(a), (g) OG 65/1994).

Frequently asked questions about ready-made companies

Is buying a ready-made SRL in Romania legal and safe?

Yes. Law 31/1990 provides for transferring SRL shares to an outsider, approved by three quarters of the capital unless the articles say otherwise (art. 202(2)), and the transfer is entered at ONRC (art. 203). Since 18 December 2025, ANAF is notified within 15 days (Law 239/2025, art. V). Safety comes from the checks made before you pay.

What if the company has hidden debts, and do I inherit them?

Debts stay with the company; a shareholder answers only up to the subscribed capital (art. 3 Law 31/1990). Where the company is declared insolvable, tax law makes administrators and shareholders who acted in bad faith jointly liable, only for their period in the role (art. 25 Fiscal Procedure Code). The ANAF certificate shows overdue tax at the previous month-end, not what a future audit may assess.

Is a shelf company really faster than opening a new SRL?

Not at the register. The ONRC registrar decides within one working day on a new company and on a change alike (art. 105(1) Law 265/2022, 2022 text), and since 18 December 2025 a new SRL needs only 500 lei of capital (Law 239/2025 art. VI(2)). A shelf buys an incorporation date and, if it kept filing, a VAT history.

Does the VAT number come with the company?

Only if the company holds a live one. ANAF cancels a VAT code after 6 consecutive months without VAT returns, or with returns showing no purchases and no supplies (art. 316(11)(d)-(e) Fiscal Code). A company without one applies after the transfer. A foreign administrator without Romanian tax residence and capital under 45,000 lei is a listed ANAF risk criterion.

Does the bank account transfer with the shares?

The account belongs to the company, and since 1 January 2026 every company must hold a payment account in Romania or at the State Treasury (Law 70/2015 art. 1(12)-(13), as amended by Law 239/2025). The bank re-papers or opens the account after its own checks on the new owner and may refuse only on AML or sanctions grounds.

When do I actually own the company?

Towards banks and customers, from the ONRC entry, not from signing (art. 203(2) Law 31/1990; art. 46(1) Law 265/2022); towards ANAF, Law 239/2025 art. V also requires the notice and, where arrears exist, the guarantee. The registrar decides within one working day (art. 105(1), 2022 text); an incomplete file gets up to 15 calendar days (art. 106).

What is the ANAF notice on a share transfer, and what happens if the company owes tax?

Within 15 days of the transfer, the seller, the buyer or the company notifies ANAF and sends the transfer deed and the updated articles (Law 239/2025 art. V(1)(a)). Arrears need a guarantee: cash at the State Treasury, a bank guarantee letter or a surety insurance policy, enforced if the arrears remain unpaid 60 days after registration (art. V(4)).

How do I check that the company is not inactive at ANAF?

ANAF's register of inactive taxpayers is public on its website (art. 92(11) Fiscal Procedure Code). It matters: an inactive company loses the deduction of expenses and input VAT for the period (art. 11(6) Fiscal Code) and its VAT code (art. 316(11)(a)), and one not reactivated within a year of the declaration is dissolved (art. 92(4^1)).

What must be filed after the purchase, and by when?

Three filings, each within 15 days: the change at ONRC, counted from the act (art. 43(1) Law 265/2022); the beneficial-owner declaration at ONRC, counted from the change (art. 56(3) Law 129/2019), with a fine of 5,000 to 10,000 lei if it is missed (art. 57); and the ANAF notice, counted from the transfer (Law 239/2025 art. V(1)(a)).

Why does the company's share capital matter in 2026?

A new SRL needs 500 lei, and any SRL 5,000 lei once last year's net turnover exceeded 400,000 lei (Law 239/2025 art. VI(1)-(2)). An older SRL below 500 lei tops up by 18 December 2027 or risks court dissolution; a top-up made by 31 December 2026 in an act covering only it has its Part IV fee halved (art. VI(7)).

Do I have to come to Romania to sign?

Not under the trade-register law. The ONRC application can be signed with a qualified electronic signature (art. 82(1) Law 265/2022), or by an attorney under a notarised power of attorney or a lawyer (art. 81(1)). Foreign official documents from Hague Convention states go in as apostilled originals with a legalised Romanian translation (art. 76). The bank applies its own checks.

Who drafts the transfer documents and who signs them?

A lawyer partner drafts the share-transfer agreement, the shareholder decision and the updated articles, because drafting legal acts is lawyers' work (art. 3 Law 51/1995). Buyer and seller sign under private signature; no notary is required for the transfer itself (art. 204(2) Law 31/1990). Our CECCAR-registered accountants assist with the reorganisation and keep the books.

Can I buy a shelf if I already own another Romanian SRL?

Yes. Art. 14 of Law 31/1990 was repealed on 5 July 2020, so one person may be sole shareholder of several SRLs. Check the micro-enterprise regime instead: from 1 January 2026 its revenue ceiling is EUR 100,000, counted together with linked enterprises (art. 47 Fiscal Code), so your other holdings can cost the shelf its micro status.

What happens to a shelf that has no Romanian payment account?

From 1 January 2026 every legal person must hold at least one payment account in Romania or at the State Treasury while it trades (art. XI(2) Law 239/2025). A company without one is declared fiscally inactive (art. 92(1^2)(a) Fiscal Procedure Code), and the fine for not holding the account is 3,000 to 10,000 lei (art. 12(4) Law 70/2015).
